Maximize your exit with Orb - What do we look for when we acquire a company?
Alongside our M&A services, the Orb team are "buy and hold" acquirers across multiple business sectors.We like predictable businesses, with clear (contractable) revenue models. We don't have an interest in start-ups, or anything pre-revenue. We love businesses with some history (5 years or more) and a knowledgeable and stable team.Our typical sectors of interest are (but not limited to):- Digital agencies.
- Self-Storage.
- Logistics & Supply chain.
- Software & IT.
- Manufacturing (production/assembly).
- Equipment Hire.
What is "Buy and Hold"
Traditionally businesses that acquire other businesses, do so to build a portfolio with the view to sell it on. This is known as a roll-up. These types of business operations rely on the small margins made by squeezing very hard on the acquisition price compounded with scale achieved by creating a coherent group.
So what is "Buy and Hold"?
Our structure does not seek to take over the day-to-day operations of the business, we have no interest in rebranding changing or destabilising. Although the accounting will be centralised, nothing else will change. It's our desire to own the business, we do not want to operate it.
What does this mean for an exiting founder?
Put simply - The exiting founder will be able to safely hand over their company, and achieve their desired exit value without the concern that their business will be changed and or staff mistreated.
Our model is designed to safely release equity for the parting founder.
Target Size.
Size does matter!
Our size criteria band runs from a turnover of 250K to 3m - So if your business fits, then brilliant; if it's a close call, let's talk...
No debt (or V.low) Debt.
Loan ranger.
Small short term (0>5 years) working capital loans (for example a bounce back loan) are fine - however longer term loans, or layers of debt, we sadly cannot work with.
Don't be the business.
Can you leave?
Your business needs to be running autonomously of the founder (with a team). We can't cannot acquire a company, that is built around one person.
Track record.
Stability is the key.
We only acquire business that can demonstrate stability. Which, in the currently climate means businesses with 5 or more years under their belt. However, if you can convince us otherwise, we are all ears.
Valuation.
Fair & Realistic.
We will value your business using the industry-standard method of a multiple of your EBITDA - (Earnings Before Interest, Taxes, Depreciation, and Amortisation). This link explains EBITDA and how to calculate it for your business.
Building your deal.
Show me the money.In most cases we favour the earn-out structure with a percentage delivered on the agreement of the sale and the remaining percentage over a fixed time period, however in some cases alternative deals can be structured. What's important to us is that the deal is a win-win. As we want you to be as happy to sell as we are to acquire.
What we need from you?

To get started selling your agency to Orb, we are going to need a few things:
- Full Three years of accountant prepared accounts. (in some cases Five)
- Current Balance Sheet (within 30 days) - can be pulled from your internal accounting system
- Current Profit and Loss Statement (within 30 days) - can be pulled from your internal accounting system
- Summary document (how does your business make money) and org chart (who does what)
- A mutually signed NDA (one for you, one for us) - We have a prepared NDA signed on behalf of our company you can it download here.
- A meeting (Zoom or call) - To meet with us and discuss your options.
